Terms and Conditions

Welcome to Quilytics. These Terms and Conditions (“Terms”) govern the use of our services, products, and website. By engaging with our services, you (“Client”) agree to abide by these Terms. Please read them carefully.

1. About Us

Quilytics (“we,” “our,” or “us”) is a data analytics and technology solutions provider offering services including but not limited to:

  • Data analytics & visualization
  • Data engineering solutions
  • Website analytics
  • Generative AI and agentic AI consulting & implementation

We work with international clients and deliver tailored solutions based on agreed project scopes.

2. Services

  1. Services are provided according to the scope of work agreed between Quilytics and the Client through written proposals, agreements, or statements of work.
  2. We strive to deliver services with reasonable skill, care, and in accordance with industry standards.
  3. Any timelines shared are indicative and may be adjusted due to dependencies on client inputs, third-party tools, or unforeseen circumstances.

3. Fees, Invoicing & Payments

  1. Fees for services will be communicated in writing (proposal, contract, or invoice).
  2. Standard invoicing procedures apply. Invoices are payable within 30 calendar days from the date of issue, unless otherwise agreed in writing.
  3. Payments may be made through:
    • Secure payment links shared by Quilytics
    • Bank transfers to designated accounts
  4. Late payments may incur interest charges at the prevailing legal rate or as permitted under applicable laws or as specified in Master Services Agreement or Scope of Work.

4. Refunds & Cancellations

  1. Quilytics offers a 30-day refund policy from the date of request raised by the client through official channel. The value of refund will be processed after a thorough audit by the Quilytics team.
  2. A refund may be considered if:
    • The solution delivered has not functioned as reasonably promised, and
    • The issue is proven and mutually validated by both the Client and Quilytics teams.
  3. Refunds will not be applicable in cases where:
    • The issue arises due to incorrect or incomplete client data.
    • The Client has altered, misused, or failed to implement the solution as directed.
    • Third-party system dependencies or restrictions prevented successful implementation.
  4. All approved refunds will be processed via the same method of payment within a reasonable timeframe.

5. Client Responsibilities

Clients agree to:

  1. Provide accurate, timely, and complete information necessary for project delivery.
  2. Ensure any required access to systems, databases, or platforms is provided securely.
  3. Use the services for lawful purposes and not engage in any activity that may harm Quilytics’ systems, reputation, or intellectual property.

6. Intellectual Property Rights

  1. Unless otherwise agreed in writing, all intellectual property created during a project (including code, dashboards, scripts, and documentation) will remain the property of Quilytics until full payment is received.
  2. Upon full payment, ownership rights of final deliverables may be transferred to the Client, while Quilytics retains rights to use general knowledge, expertise, and non-client-specific methodologies developed during the engagement.

7. Confidentiality & Data Protection

  1. Both parties agree to maintain confidentiality of all sensitive business and technical information shared during the engagement.
  2. Quilytics complies with reasonable industry standards for data security and privacy.
  3. We do not share client data with third parties unless required by law or explicitly authorized by the Client.

8. Limitation of Liability

  1. Quilytics shall not be liable for any indirect, incidental, or consequential damages, including loss of profits, revenue, or data, arising from the use of our services.
  2. Our total liability shall not exceed the total fees paid by the Client for the specific project giving rise to the claim.

9. Termination

  1. Either party may terminate a service engagement with written notice if the other party breaches these Terms and fails to remedy within a reasonable period.
  2. Upon termination, all outstanding fees shall become immediately payable.

10. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Mumbai, India.

11. Updates to Terms

Quilytics reserves the right to update or modify these Terms at any time. Updated versions will be posted on our website with the effective date. Continued use of our services constitutes acceptance of the revised Terms.
